Transactional Practice

Business, Real Estate & Bankruptcy
At Mayer Law Group, A.P.C., we assist clients with all of their general business needs, including bankruptcy and insolvency, business and real estate transactions, and landlord-tenant issues.  Our clients include individuals and large and small businesses throughout Southern California.

Business Formation
We are adept at structuring and facilitating a wide variety of business transactions, including advising on the type of entity to form, such as joint ventures, corporations, limited liability companies (LLCs), or general or limited partnerships.

We put an emphasis on creating well-drafted business contracts to minimize the potential for subsequent misunderstandings which may lead to costly and protracted litigation.  When disagreements do occur, our attorneys are highly experienced in a range of dispute resolution methods, including arbitration, mediation, and civil litigation.

Business Purchase and Sales
We analyze every aspect of a purchase to help buyers avoid making costly mistakes.  We also aid sellers and buyers in negotiating profitable sale terms and creating security guarantees and other safeguards in order to minimize post-sale claims and litigation.

Real Estate
We represent buyers, sellers, landlords, tenants, brokers, agents, contractors, homeowner associations, and homeowners.  We assist clients with real property purchase and sale transactions; trust deed and mortgage documentation; and residential, commercial, and income-producing property issues. We emphasize the importance of carefully drafting leases, operating agreements, and other documentation so as to avoid later disputes.

Bankruptcy: Chapter 7 & Chapter 11
We pride ourselves on being able to help clients avoid bankruptcy by utilizing risk-reducing asset protection strategies.  If bankruptcy is the best solution, we assist clients in Chapter 7, Chapter 13,  and Chapter 11 proceedings, but not before considering the alternative; assignments for the benefit of creditors; creditor "work-outs"; creditor composition and extension agreements.

Creditor's Rights
In addition to our work on behalf of debtors, we also help secured and unsecured creditors in both state and federal courts develop effective methods and solutions to enforce their rights and collect on unpaid debts.  We also represent third parties interested in purchasing assets out of bankruptcy, and act as court-appointed receivers and assignees.  Our services include:

  • Collections
  • Creditor's Rights
  • Bankruptcy Litigation, including Relief From Stay Motions, Proof of Claim Litigation, and Adversay Proceedings in Chapter 7, Chapter 13 and        Chapter 11
  • Fraudulent and Preferential Transfer Actions
  • Wrongful Foreclosure Defense
